​PARTIES:
Kensington Tutors Ltd. (also referred to as ‘Kensington Tutors’ ‘KT’  ‘we’ or ‘us’)
and
The Parent/Guardian and, where applicable, the Tutee (referred to as "you" or "your"), as identified in the online agreement.

Kensington Tutors provides a personalised Tutor matching and educational support service. We work with families to understand each student's individual needs and carefully match them with Tutors who are well suited to their academic goals, learning style and circumstances. These Terms and Conditions explain the basis on which we provide our Services and form the agreement between Kensington Tutors and the Parent/Guardian or Tutee.

Kensington Tutors aims to build long-term relationships with families based on trust, professionalism and personalised educational support. Where appropriate, we will work with Parents, Guardians, Tutees and Tutors to resolve concerns constructively and to ensure that each tutoring arrangement has the best possible opportunity to succeed.

Definitions

"Lesson" means any tutoring session arranged by Kensington Tutors.

"Lesson Fee" means the fee agreed for a Lesson.

"Services" means the tutoring and related services provided by Kensington Tutors.

"Tutor" means a Tutor introduced by Kensington Tutors to provide tuition services.

TERMS AND CONDITIONS

These Terms and Conditions form the agreement between Kensington Tutors and the Parent or Guardian and, where applicable, the Tutee. Please read them carefully before booking or receiving any Services from Kensington Tutors.

 

Client Responsibilities
1.1    A Tutee who is under 18 years of age must have the consent of a Parent or Guardian to register with Kensington Tutors, and that Parent or Guardian must enter into any agreement for the provision of tutoring services. The Parent or Guardian is entitled to review the Tutor's credentials. Kensington Tutors is not responsible for any disputes relating to parental consent. For any Lesson involving a Tutee under the age of 18, whether delivered in person or online, a responsible adult aged 18 or over must be present on the premises for the duration of the Lesson. The Parent or Guardian remains responsible for the welfare and supervision of any Tutee under the age of 18 at all times during a Lesson. Tutors are engaged to provide educational instruction only and are not responsible for the care or supervision of a Tutee.
1.2    A Tutee (and Parent/Guardian) must not publish or communicate any false, abusive, defamatory or derogatory statements about Kensington Tutors, its Tutors, other Tutees or any associated person. Nothing in this clause prevents a Tutee or Parent/Guardian from making a genuine complaint or leaving an honest review based on their experience. If a Tutee or Parent/Guardian has any concerns regarding the Services, they are encouraged to raise them with Kensington Tutors in the first instance so that they may be investigated and, where appropriate, resolved promptly.
1.3    Kensington Tutors is not responsible for examination entry; this is the sole responsibility of the Tutee (and Parent/Guardian).
1.4    A Tutee must not request, and a Tutor must not agree, to complete coursework, essays, or other assignments for a Tutee.
1.5    A Tutee (and Parent/Guardian) must not enter into any arrangement directly with a Tutor outside Kensington Tutors during the tutoring engagement or for six months after it ends.
1.6    A Tutee must ensure that they have provided sufficient information, including the correct address and email address, to enable the Lesson to take place. If a Lesson is to take place at the Tutee's home, the Tutee must ensure a suitable setting for the Lesson. Parents/Guardians of a Tutee who is under 18 must give their permission for contact details of the Tutee to be given to the Tutor.

Communication regarding Lessons will normally take place by email. Kensington Tutors does not permit Tutors to communicate with Tutees via social media for tutoring purposes. Parents or Guardians will be copied in on emails to an under 18 Tutee.
1.7    If a Lesson does not take place because a Tutee does not attend, or if the Parent/Guardian/Tutee cancels the Lesson with less than two hours’ notice, the Tutee will be charged the full Lesson Fee. Cancellations that take place more than 2 hours before the start of the Lesson but within 12 hours will be charged at half the Lesson fee. In the case of young children (primary age), a cancellation on the day for sickness, where the child has not been sent to school, will not be charged provided Kensington Tutors is informed at or around the same time that the school is notified.
1.8   A Tutee (or Parent/Guardian) must cancel a Lesson by contacting the Tutor and receiving confirmation. Kensington Tutors must also be copied into this email.
1.9   The Parent/Guardian/Tutee acknowledges that, if they confirm a booking with a Tutor, and then all (or all but one) Lesson(s) are subsequently cancelled, they may, at Kensington Tutors' discretion, be charged a finder's fee of £50 to reflect the reasonable administrative costs incurred in sourcing and appointing a Tutor.
1.10   A Parent/Guardian/Tutee should inform Kensington Tutors of a Complaint by either phone or email within 48 hours of the scheduled finish time of the relevant Lesson. 
1.11    Payment must be received within 72 hours of the invoice being issued. If a Parent/Guardian/Tutee has an outstanding payment for over 72 hours, Kensington Tutors reserves the right to suspend any future Lessons until all outstanding fees have been paid in full.
1.12 Kensington Tutors may continue to seek payment for any outstanding fees following the scheduled end of the relevant Lesson by contacting the Parent/Guardian/Tutee by email, SMS and telephone. Where payment remains outstanding, Kensington Tutors reserves the right to:

• suspend or cancel any future Lessons or Services until the outstanding balance has been paid in full;

• issue formal payment reminders or a Letter Before Claim;

• commence legal proceedings to recover the outstanding debt where necessary; and

• seek recovery of any court fees, statutory interest or other sums recoverable under applicable law.

General
2.1    All business undertaken by Kensington Tutors, a Tutor and/or a Tutee or parents/guardians is transacted subject to these Terms. In the event of any conflict between these Terms and any other terms and conditions, these Terms shall prevail. 
Obligations of Kensington Tutors and related provisions
2.2    Kensington Tutors provides a personalised Tutor matching and educational support service. We take time to understand each Tutee's educational needs, learning goals and preferences before identifying and recommending suitable Tutors. Our role includes recruiting and vetting Tutors, making introductions, supporting the tutoring relationship and providing ongoing guidance to Parents or Guardians and Tutees throughout the engagement where appropriate.
2.3    Kensington Tutors takes reasonable technical and organisational measures to protect personal information and to keep the details of Tutors and Tutees secure. However, no method of electronic communication or data storage can be guaranteed to be completely secure.
2.4    Kensington Tutors undertakes appropriate recruitment, qualification verification and safeguarding checks before introducing Tutors.

​Liability, Indemnity and other provisions
3.1   Kensington Tutors is committed to identifying and introducing Tutors who are well matched to each Tutee's individual needs. Kensington Tutors undertakes a thorough recruitment and vetting process, including reviewing qualifications, experience and safeguarding checks, and will carefully consider the educational requirements and preferences provided by the Parent/Guardian or Tutee when recommending a Tutor. Where appropriate, Kensington Tutors may also provide Tutor CVs or arrange an introductory meeting before tuition commences. Whilst every effort is made to recommend a suitable Tutor, Kensington Tutors cannot guarantee that every introduction will result in a successful long-term tutoring relationship or that a Tutor will meet every expectation or preference of the Parent/Guardian or Tutee. If, despite Kensington Tutors' careful selection process, a Parent/Guardian or Tutee believes that a Tutor is not the right fit, Kensington Tutors will use reasonable endeavours to discuss the concerns and, where appropriate, identify an alternative Tutor.
3.2   Kensington Tutors does not guarantee that a Tutee will achieve any particular examination result, grade or academic objective. A Tutee's progress depends on many factors beyond Kensington Tutors' reasonable control, including attendance, effort, prior knowledge and examination performance.
3.3   Kensington Tutors shall not be liable for any indirect or consequential loss, including loss of opportunity, loss of earnings or disappointment arising from the provision of the Services, except where such liability cannot lawfully be excluded.

3.4 Subject to clause 3.5, Kensington Tutors' total liability arising out of or in connection with these Terms or the Services shall not exceed the total fees paid by the Parent/Guardian or Tutee to Kensington Tutors in respect of the relevant tutoring arrangement.

3.5 Nothing in these Terms limits or excludes any liability that cannot lawfully be limited or excluded under the laws of England and Wales, including liability for death or personal injury caused by negligence, or for fraud or fraudulent misrepresentation.

3.6 Kensington Tutors is responsible for arranging the Services and for the administration of bookings and payments. Tutors remain responsible for planning and delivering tuition professionally and in accordance with applicable safeguarding and professional standards. 

Intellectual Property
4.1    The Kensington Tutors name, logo, website content, teaching resources, documents and other intellectual property remain the property of Kensington Tutors unless otherwise stated. All copyright, trademarks, and other intellectual property rights in and relating to Kensington Tutors (including the material which is contributed by Tutors) are owned by Kensington Tutors. It is prohibited to copy, distribute, show in public or create any derivative work from Kensington Tutors, or any of the material which is found at Kensington Tutors without the consent of Kensington Tutors. Please see our Copyright Notice, which forms part of these Terms and Conditions. Tutor profiles, biographies and supporting documents supplied by Kensington Tutors are provided solely to assist in selecting a Tutor and must not be copied, distributed or used to engage a Tutor outside Kensington Tutors.

​Miscellaneous provisions

5.1    Kensington Tutors reserves the right to modify, suspend or discontinue aspects of the Kensington Tutors Website or the entirety of it.
5.2   Kensington Tutors may contact clients using the contact details provided for the purposes of administering tutoring services, responding to enquiries, processing payments and, where appropriate, providing service updates.
5.3   Kensington Tutors may use anonymised or aggregated data for statistical analysis and to improve its services.
5.4    Kensington Tutors' Privacy Policy forms part of these Terms and Conditions. By agreeing to these Terms and Conditions, the Tutor, Parent or Guardian and Tutee acknowledge that they have read the Privacy Policy, which explains how Kensington Tutors collects, uses, stores and otherwise processes personal data in accordance with applicable data protection legislation. If you contact Kensington Tutors through our website, including by using an enquiry form, chat facility or online agreement, the personal information you provide will be securely transmitted and stored using Wix and any other trusted service providers we use to operate our business. This information is not publicly accessible on our website and is only used for the purposes set out in our Privacy Policy. Kensington Tutors takes reasonable technical and organisational measures to protect personal information. While no method of transmission over the internet or electronic storage can be guaranteed to be completely secure, we work with reputable service providers and take appropriate steps to safeguard the information entrusted to us.

5.5 Force Majeure: Kensington Tutors shall not be liable for any delay or failure to perform its obligations where such delay or failure results from circumstances beyond its reasonable control, including but not limited to severe weather, natural disasters, power failures, internet outages, industrial disputes, government action or serious illness. Kensington Tutors will use reasonable endeavours to rearrange any affected Lessons where possible.
5.6    Entire Agreement: These Terms and Conditions include Kensington Tutors Privacy Policy and Copyright Notice. Those without signed agreement do not have a right under the Contracts (Rights of Third Parties) Act 1999 to rely upon or enforce any term of these Terms and Conditions.
5.7    Severability: In the event that any term of these Terms and Conditions is held to be invalid or unenforceable by judicial decree or decision, the remainder of these Terms and Conditions shall remain valid and enforceable.
5.8    These Terms and Conditions are governed by the laws of England and Wales and any dispute arising under them shall be subject to the exclusive jurisdiction of the courts of England and Wales.
